1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Invoice Kwik ("we", "us", or "our") governing your use of the Invoice Kwik platform and services.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

2. Service Description

Invoice Kwik provides a cloud-based invoicing platform designed for small and medium-sized businesses. Our services include:

  • Invoice creation, management, and distribution
  • Customer and product/service management
  • Voice and text-based invoice creation
  • Payment tracking and reporting
  • Integration with third-party services

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. By registering, you represent that all information provided is accurate and complete.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorised access
  • Ensuring your account information remains current and accurate

4. Subscription and Payment Terms

4.1 Pricing

Our pricing plans are detailed on our pricing page. All prices are in GBP and exclude VAT unless otherwise stated. We reserve the right to change our pricing with 30 days' notice to existing customers.

4.2 Billing

  • Subscription fees are billed in advance on a monthly or annual basis
  • Payment is due immediately upon invoice
  • You authorise us to charge your payment method on file
  • Failed payments may result in service suspension

4.3 Free Trial

We may offer a free trial period. At the end of the trial, your subscription will automatically commence unless you cancel before the trial ends.

4.4 Refunds

Subscription fees are non-refundable except as required by law or at our sole discretion. If you cancel your subscription, you will retain access until the end of your current billing period.

5. Acceptable Use Policy

You agree not to:

  • Use our services for any unlawful purpose or in violation of any regulations
  • Transmit any harmful code, viruses, or malicious software
  • Attempt to gain unauthorised access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of our services
  • Use our services to send spam or unsolicited communications
  • Reverse engineer, decompile, or disassemble our software
  • Resell or redistribute our services without authorisation
  • Use automated systems to access our services without permission

6. Intellectual Property Rights

6.1 Our Rights

All rights, title, and interest in the Invoice Kwik platform, including software, designs, trademarks, and content, are owned by us or our licensors. You are granted a limited, non-exclusive, non-transferable licence to use our services in accordance with these Terms.

6.2 Your Content

You retain ownership of all data and content you upload to our platform ("Customer Data"). You grant us a licence to use, store, and process Customer Data solely to provide our services to you.

You represent that you have all necessary rights to the Customer Data and that it does not infringe any third-party rights.

7. Data Protection and Privacy

We process your personal data in accordance with our Privacy Policy and UK GDPR. By using our services, you consent to such processing and warrant that all data provided is accurate.

You are responsible for ensuring that your use of our services complies with applicable data protection laws, including obtaining necessary consents from your customers.

8. Service Level and Availability

We strive to maintain high service availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We are not liable for service interruptions caused by:

  • Factors beyond our reasonable control
  • Your internet connection or equipment
  • Third-party service failures
  • Scheduled maintenance

9. Limitation of Liability

To the maximum extent permitted by law:

  • Our services are provided "as is" without warranties of any kind
  • We are not liable for any indirect, incidental, or consequential damages
  • Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
  • We are not liable for loss of data, profits, revenue, or business opportunities

Nothing in these Terms excludes our liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

10. Indemnification

You agree to indemnify and hold harmless Invoice Kwik, its officers, directors, and employees from any claims, damages, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

11. Termination

11.1 By You

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period.

11.2 By Us

We may suspend or terminate your account immediately if you:

  • Breach these Terms
  • Fail to pay fees when due
  • Engage in fraudulent or illegal activity
  • Pose a security risk to our services

11.3 Effect of Termination

Upon termination, your access will cease, and we may delete your Customer Data after a reasonable period (typically 30 days). You should export your data before termination.

12. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the business relationship, except as required by law or with prior written consent.

13. Third-Party Services

Our platform may integrate with third-party services. We are not responsible for the availability, accuracy, or content of third-party services. Your use of third-party services is subject to their respective terms and policies.

14. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through our platform. Your continued use after changes constitutes acceptance. If you do not agree to the changes, you must stop using our services.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

16. Dispute Resolution

In the event of a dispute, both parties agree to first attempt to resolve the matter through good faith negotiations. If unresolved within 30 days, either party may pursue legal remedies.

17. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, terrorism, strikes, or government actions.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Invoice Kwik regarding the use of our services, superseding any prior agreements.
